1. Purpose

The Recipient is being granted access to confidential investor materials for the sole purpose of evaluating a potential investment in Global Urban Solutions Inc. ("GUS" or "the Company"), incorporated in Canada and South Africa ("Purpose").

2. Confidential Information

"Confidential Information" means all non-public information disclosed by GUS including but not limited to: business plans, financial projections, technology specifications, franchise structures, client and partner relationships, operational data, intellectual property, pricing, seed round terms, and strategic plans in any form.

3. Obligations of the Recipient

The Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely for the Purpose; (c) not disclose or transmit Confidential Information to any third party without prior written consent from GUS; (d) promptly notify GUS of any unauthorised use or disclosure.

4. Exclusions

These obligations do not apply to information that: (a) is or becomes publicly known through no fault of the Recipient; (b) was lawfully in the Recipient's possession prior to disclosure; (c) must be disclosed by law or court order, provided GUS is given prior written notice.

5. No Grant of Rights

Nothing in this Agreement grants the Recipient any licence, title, or intellectual property rights in GUS's technology, brand, or business.

6. Return or Destruction

Upon request by GUS, the Recipient shall promptly return or certifiably destroy all Confidential Information and copies thereof.

7. Duration

This Agreement remains in effect for three (3) years from the date of electronic acceptance, or until the relevant Confidential Information lawfully enters the public domain.

8. Governing Law

This Agreement is governed by the laws of the Province of Quebec, Canada, without prejudice to applicable South African law (POPIA) where relevant.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to confidentiality. Electronic acceptance below constitutes a legally binding signature.
